Terms of Use for Custom Pods, Widgets and Tools Provided

These Terms of Use (the “Terms”) govern your access to and use of the Custom Pods, Widgets and Tools (collectively, the “Apps”) provided by Multimedia Development (“MDI”, “we”, “us”). By downloading, installing, accessing, or using the Apps, you agree to these Terms. If you do not agree, do not use the Apps.
1. Description of the Apps
MDI provides a collection of mini applications that extend functionality within Adobe Connect. The Apps may include engagement tools, games, utilities, and similar features.
Adobe Connect is a third-party platform. MDI is not affiliated with, endorsed by, or sponsored by Adobe, and your use of Adobe Connect is governed by Adobe’s terms and your organization’s policies.
2. Eligibility and Account/Organization Responsibilities
You may use the Apps only if you have the legal authority to do so (for example, you are an adult and authorized by your organization to install and use software in your Adobe Connect environment). You are responsible for ensuring your environment, settings, and security controls are appropriate for your use.
3. License Grant and Restrictions
Subject to your compliance with these Terms, MDI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Apps solely for use with Adobe Connect for your internal business or personal purposes, as applicable.
Restrictions. Except as expressly permitted by applicable law, you may not:
- copy, modify, translate, or create derivative works of the Apps;
- sell, rent, lease, sublicense, distribute, or otherwise make the Apps available to third parties;
- reverse engineer, decompile, or attempt to discover source code or underlying ideas of the Apps;
- remove or alter proprietary notices (copyright, trademark, etc.);
- use the Apps to violate law, infringe rights, or transmit malicious code.

4. Ownership; Intellectual Property
The Apps and all related intellectual property rights are owned by MDI and its licensors. Except for the limited license granted above, no rights are granted to you. “Multimedia Development”, “MDI”, and associated names/logos may be trademarks of MDI.
5. Third-Party Services and Content
Some Apps may enable you to connect to third-party services (for example, the EtherPad Connect pod). Any third-party services are governed by their own terms and privacy practices, and MDI is not responsible for them. You are responsible for selecting, configuring, and securing any third-party service you use.
6. Updates, Changes, and Availability
MDI may (but is not obligated to) provide updates, patches, or new versions of the Apps. We may modify, suspend, or discontinue any App at any time. Older versions may stop working due to changes in Adobe Connect or other dependencies.
7. Support and Maintenance
MDI may provide support at its discretion, but we do not guarantee response times or that any particular issue will be resolved. Support may be limited or unavailable for older versions.
8. Acceptable Use
You agree not to use the Apps:
- in a way that violates any law, regulation, or third-party rights;
- to store or transmit malware or harmful code;
- to interfere with or disrupt Adobe Connect, networks, or other users’ systems;
- for high-risk activities where failure could cause injury or property damage (e.g., emergency response, medical devices, critical infrastructure).
9. Privacy
Our Privacy Policy explains how we handle information in connection with the Apps and related services. To the extent permitted by law, the Privacy Policy is incorporated into these Terms by reference.
10. Disclaimers
Disclaimer of Warranties
THE APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MDI DOES NOT WARRANT THAT THE APPS WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR COMPATIBLE WITH ALL ADOBE CONNECT VERSIONS OR CONFIGURATIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MDI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE APPS OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APPS OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID MDI FOR THE APPS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $50.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless MDI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Apps; (b) your configuration or use of any third-party service; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.
13. Termination
These Terms are effective until terminated. MDI may terminate or suspend the license granted to you immediately if you breach these Terms. Upon termination, you must stop using the Apps and delete all copies in your possession or control.
Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute provisions) will survive.
14. Governing Law; Venue
These Terms are governed by the laws of the State of Minnesota, USA, excluding its conflict-of-laws rules. You and MDI agree that any dispute arising out of or related to these Terms or the Apps will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to personal jurisdiction in those courts.
15. Export and Sanctions Compliance
You may not use, export, re-export, or transfer the Apps except as authorized by U.S. law and the laws of the jurisdiction where the Apps are obtained or used. You represent that you are not located in, under the control of, or a national/resident of any sanctioned country, and are not on any U.S. government restricted-party list.
16. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date will reflect the latest revision. If changes are material, we will take reasonable steps to provide notice (for example, via release notes or a notice where the Terms are posted). Your continued use of the Apps after the effective date of the updated Terms constitutes acceptance of the updated Terms.
17. Miscellaneous
Entire Agreement
These Terms (and any documents incorporated by reference) constitute the entire agreement between you and MDI regarding the Apps and supersede all prior or contemporaneous understandings.
Severability
If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver
Failure to enforce any provision is not a waiver of the right to do so later.
Assignment
You may not assign or transfer these Terms without MDI’s prior written consent. MDI may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
By using the Apps, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
